1. Acceptance of Terms

By accessing and using Comecari's freight exchange platform, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our platform.

2. Use License

Permission is granted to use Comecari's platform for legitimate freight and logistics purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify, copy, or distribute the platform materials
• Use the platform for any unlawful or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble any software
• Remove any copyright, trademark, or proprietary notices
• Interfere with or disrupt the integrity or performance of the platform

3. User Responsibilities

As a user of our platform, you agree to:

• Provide accurate, current, and complete information during registration and use
• Maintain the security of your account credentials and notify us of any unauthorized access
• Comply with all applicable laws, regulations, and industry standards
• Respect the intellectual property rights and privacy of other users
• Use the platform only for legitimate freight matching, tracking, and logistics purposes
• Not engage in fraudulent, deceptive, or misleading practices

4. Service Availability

Comecari strives to maintain high service availability but does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of the services with or without notice. Scheduled maintenance windows will be communicated in advance where possible.

5. Verification & Compliance

All carriers and drivers on the platform undergo verification including commercial license validation, cargo insurance verification, vehicle registration checks, and background screening. Comecari reserves the right to suspend or remove any user who fails to maintain compliance standards.

6. Limitation of Liability

Comecari shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our platform, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

7. Payment Terms

Users agree to pay all applicable fees for services used. Payment terms include:

• Fees are charged according to the current pricing structure published on the platform
• Payments are due upon invoice receipt or as otherwise agreed in writing
• Late payments may incur additional charges at the maximum rate permitted by law
• Refunds are subject to our refund policy and are processed at Comecari's discretion
• Disputed charges must be raised within 30 days of invoice date

8. Intellectual Property

All content, features, and functionality of the platform (including but not limited to software, designs, logos, and trademarks) are owned by Comecari and protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

9. Termination

Either party may terminate this agreement at any time with written notice. Upon termination, your right to use the platform will cease immediately. Sections 6, 8, and 10 shall survive termination. Comecari may suspend access immediately for violations of these terms.

10. Governing Law & Dispute Resolution

These terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
